As part of this special webinar, we will be covering the following topics and proposals from the SEC's Open Meeting:

  • Reducing the Rule 144 holding period from one year to six months, eliminating the filing of Form 144 for non-affiliates, and allowing affiliates to file Form 4 in lieu of Form 144
  • Increasing the number of companies that can benefit from the scaled reporting system for those with a public float below $75 million
  • Eliminating "SB" Forms and reverting to the "S-K" system of filings, but retaining the reporting and disclosure benefits for smaller companies
  • Allowing the use of Form S-3 for all reporting companies to issue up to 20% of the company's public float annually
  • Allowing limited advertising in private offerings for "qualified purchasers" - a new category of investor defined by having $2.5 million in investments or $400,000 in income ($600,000 when combined with spouse)
  • Adjusting the current Regulation D threshold for "accredited investors" and providing for electronic filing of Form D
